1. Introduction

These terms of use ("Terms") govern your access to and use of the Qonasense website (qonasense.com) and services provided by Qonasense Ltd, a company registered in England and Wales with company number 15847293, whose registered office is at 71-75 Shelton Street, Covent Garden, London WC2H 9JQ ("Qonasense," "we," "us," or "our").

By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

2. Description of Services

Qonasense provides an AI security and governance platform designed to help organisations monitor, protect, and manage AI interactions. Our services include but are not limited to real-time threat detection, data loss prevention, Shadow AI detection, policy enforcement, and analytics.

3. Eligibility

Our services are intended for business use by organisations. By using our services, you represent that you are at least 18 years old and have the authority to bind your organisation to these Terms. You are responsible for ensuring that all users within your organisation comply with these Terms.

4. Account Registration

To access certain features, you may be required to create an account. You agree to:

• Provide accurate and complete information during registration
• Maintain the security of your account credentials
• Promptly notify us of any unauthorised access to your account
• Accept responsibility for all activities that occur under your account

5. Acceptable Use

You agree not to:

• Use our services for any illegal or unauthorised purpose
• Violate any applicable laws, regulations, or third-party rights
• Attempt to gain unauthorised access to our systems or networks
• Interfere with or disrupt the integrity or performance of our services
• Reverse engineer, decompile, or disassemble our software
• Use our services to transmit harmful code or malware
• Resell or redistribute our services without authorisation

6. Intellectual Property

All content, features, and functionality of our services, including but not limited to software, text, graphics, logos, and trademarks, are the exclusive property of Qonasense Ltd and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

7. Data Processing

Our processing of personal data is governed by our Privacy Policy and complies with UK GDPR and the Data Protection Act 2018. For enterprise customers, data processing is additionally governed by our Data Processing Agreement (DPA). You are responsible for ensuring that you have the necessary rights and consents to process data through our services.

8. Service Availability

We strive to maintain high availability of our services but do not guarantee uninterrupted access. We may modify, suspend, or discontinue any aspect of our services at any time. We will provide reasonable notice for planned maintenance or significant changes.

9. Fees and Payment

Certain services may require payment. Fees are set forth in your service agreement or order form and are quoted in Pounds Sterling (GBP) unless otherwise stated. All fees are exclusive of VAT, which will be added where applicable at the prevailing rate. Payment terms, including billing cycles and accepted payment methods, will be specified in your agreement.

10. Confidentiality

Each party agrees to maintain the confidentiality of any confidential information received from the other party. This obligation does not apply to information that is publicly available, independently developed, or rightfully obtained from third parties.

11. Limitation of Liability

Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

Subject to the above, we shall not be liable to you for any indirect or consequential loss, loss of profit, loss of business, loss of goodwill, or loss of data. Our total liability to you in respect of all other losses shall not exceed the amounts paid by you in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Qonasense Ltd and its officers, directors, employees, and agents from any claims, damages, losses, and expenses arising from your use of our services, your violation of these Terms, or your violation of any third-party rights.

13. Termination

Either party may terminate these Terms upon written notice if the other party materially breaches these Terms and fails to cure such breach within 30 days of notice. We may suspend or terminate your access immediately for violations of acceptable use policies. Upon termination, your right to use our services will cease immediately.

14. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated through our website or email. Your continued use of our services after changes take effect constitutes acceptance of the modified Terms.

16. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Qonasense Ltd regarding the subject matter hereof.
• Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
• Waiver: Failure to enforce any right or provision shall not constitute a waiver of such right or provision.
• Assignment: You may not assign these Terms without our prior written consent.
• Third Party Rights: A person who is not a party to these Terms shall not have any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms.
